2. Description of Service
Abefo 360 provides digital solutions and transformation services, including software development, AI and automation, digital marketing, and creative and branding services.
3. User Accounts and Responsibilities
To access certain features of the Service, you may need to create an account. You are responsible for safeguarding your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. User Content
You may be able to upload, store, or share content through the Service ("User Content"). You retain all rights to your User Content, but you grant us a worldwide, royalty-free license to use, reproduce, and display your User Content as necessary to provide the Service.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Abefo 360 Limited and its licensors.
6. Payment and Fees
Certain services may be subject to payment. All fees are quoted in Ghana Cedis (GH₵) unless otherwise specified. You agree to pay all applicable fees for the services you purchase.
7. Project Quotes and Scope of Work
This section governs the terms applicable to project quotes, scope of work, and milestone-based payments.
7.1 Quote Approval
By approving a quote through our platform, you enter into a binding agreement with Abefo 360 for the services described therein. Quote approval constitutes your acceptance of:
- The total pricing and payment schedule outlined in the quote
- The scope of work and deliverables described within each milestone
- The timeline expectations where specified
- These Terms of Service
7.2 Scope of Work Boundaries
Each milestone in your quote includes a detailed "Scope of Work & Deliverables" section that defines:
- The specific tasks to be performed during that milestone
- The deliverables you will receive upon completion
- Any limitations or exclusions applicable to that phase
Important: Work not explicitly listed in the scope of work is considered "out of scope" and is not included in the quoted price. Out-of-scope work may require a separate quote or change request and additional fees.
7.3 Payment Structure
Projects are structured with milestone-based payments as follows:
- Deposit: An upfront payment required before work commences. The deposit secures your project in our schedule and covers initial project setup and planning.
- Milestone Payments: Subsequent payments are tied to specific project milestones. Each milestone payment becomes due upon completion of the deliverables defined in that milestone's scope of work.
- Final Payment: The final milestone payment is due upon project completion and delivery.
7.4 Change Requests
If you require work that falls outside the agreed scope of work, you may submit a change request. Change requests will be evaluated, and if approved, a separate quote will be provided for the additional work. Change requests may affect project timelines and total costs.
7.5 Revisions and Amendments
Revisions within the defined scope of work are included as specified in each milestone. Additional revisions beyond what is specified may incur additional charges. Any changes to the approved quote require mutual written agreement between both parties.
7.6 Deliverable Acceptance
Upon completion of each milestone, deliverables will be submitted for your review. You agree to review deliverables within a reasonable timeframe (typically 5 business days). Failure to provide feedback within this period may be considered acceptance of the deliverables.
7.7 Project Cancellation
If you wish to cancel a project after quote approval:
- The deposit is non-refundable and covers work already performed and project setup costs
- Payments for completed milestones are non-refundable
- Work in progress will be billed proportionally based on completion percentage
8. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
9. Disclaimers and Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Abefo 360 makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties. In no event shall Abefo 360 be liable for any damages arising out of the use or inability to use the Service.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.
11. Changes to the Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect.
